Terms and Conditions of Sale

These terms and conditions of sale (T&Cs) govern the supply of Protocol Safe services, in particular access to the Callisto platform. Any order implies full acceptance of these T&Cs.
1. Purpose
These T&Cs define the rights and obligations of the parties in connection with the sale and supply of the services offered by protocol safe (SASU) through the website www.protocol-safe.fr and the Callisto platform.
2. Seller
protocol safe, SASU with share capital of €1, registered with the Paris Trade Register under No. 105 566 996, registered office 47 rue Vivienne, 75002 Paris, France. Contact: contact@protocol-safe.fr. Full details appear in the legal notice.
3. Services
Protocol Safe provides digital services: access to the Callisto team-management platform (Free, Pro and Team plans) as well as custom website and software design.
The details and limits of each plan are shown on the pricing page, which forms an integral part of these T&Cs.
4. Prices
Prices are stated in euros and exclude any applicable taxes. The price that applies is the one displayed at the time of the order.
protocol safe may change its prices at any time; new prices apply to orders and renewals made after they take effect, without affecting current subscriptions.
5. Order and payment
The order is firm once validated by the customer and payment is confirmed. Payment is made online through a secure payment provider; protocol safe never has access to your full card details.
A free plan is available, with no payment and no commitment.
6. Term, renewal and termination
Paid subscriptions are taken out for the chosen period and renew by tacit renewal for identical periods, unless cancelled before the due date.
The customer may cancel at any time from their account or by request to contact@protocol-safe.fr. Cancellation takes effect at the end of the current period, with no refund of the period underway, save any mandatory legal provision to the contrary.
7. Right of withdrawal
Consumer customers have a period of fourteen (14) days to exercise their right of withdrawal without giving reasons (art. L221-18 of the French Consumer Code).
In accordance with art. L221-28, this right does not apply to services fully performed before the end of the period where the customer has expressly consented to immediate performance and waived their right of withdrawal.
To exercise it, send an unambiguous statement to contact@protocol-safe.fr before the deadline.
8. Availability and maintenance
protocol safe endeavours to keep the service available 24/7, subject to maintenance, updates and events of force majeure. Scheduled interruptions are, as far as possible, announced in advance.
9. Customer obligations
The customer undertakes to provide accurate information, keep their credentials confidential and use the service in accordance with the law and these T&Cs. Any fraudulent use or use contrary to public order may lead to suspension of the account.
10. Intellectual property
The platform, its components and content remain the exclusive property of protocol safe, except for items released as open source under their own licence.
The customer retains ownership of the data and content they upload and grants protocol safe only the licence necessary to provide the service.
11. Personal data
Personal-data processing is described in the privacy policy, compliant with the GDPR and the French Data Protection Act.
12. Legal guarantees
Consumer customers benefit from the legal guarantee of conformity (art. L217-1 et seq. of the Consumer Code) and the guarantee against hidden defects (art. 1641 et seq. of the Civil Code), independently of any commercial warranty.
13. Liability
protocol safe is bound by an obligation of means. Its liability cannot be engaged for indirect damages, nor beyond the amounts actually paid by the customer for the service concerned over the last twelve months. No clause limits liability in the event of gross negligence, wilful misconduct or bodily injury.
14. Force majeure
Neither party may be held liable for a failure resulting from an event of force majeure within the meaning of article 1218 of the Civil Code.
15. Complaints and consumer mediation
Any complaint may be sent to contact@protocol-safe.fr. Failing an amicable solution, consumer customers may use a consumer mediator free of charge.
The details of the approved mediator that protocol safe is affiliated with are provided at contact@protocol-safe.fr and updated as soon as one is appointed.
The customer may also use the European online dispute resolution platform: https://ec.europa.eu/consumers/odr.
16. Governing law and disputes
These T&Cs are governed by French law. Failing an amicable agreement and after recourse to mediation, the French courts have jurisdiction under ordinary law.
